The Clause Identification and Management (CIM) feature provides users with a comparison match between the clause language in a document they upload to a Contract Profile and the Conga Contracts (formerly Novatus) Model, which is the standard against which individual clauses in an uploaded document are evaluated. The Conga Contracts (formerly Novatus) Model is based on the clauses found on the Law Insider website, but users with the Clause Admin permission can "train" the Model to learn the language in their company’s contracts by adding, modifying, and deleting the clauses in their Clause Libraries through document processing. Document processing allows a user to select a match between a clause in a document uploaded to a Contract Profile and an existing clause type stored in the Model.
The Conga Contracts (formerly Novatus) Model is updated on a nightly basis, allowing the Model to "learn" a company’s preferred contract language. If there are existing clauses stored in the Library before the CIM feature is added, the Model will take this existing language into account when arriving at the new standard for any duplicate clauses during the first run of the nightly batch process. For example, if the Clause Library contains an Indemnification clause, which is also a pre-defined clause in the Model, the new standard that is applied to an uploaded document with an Indemnification clause will be arrived at using an algorithm that takes into account both the clause language in the Model and the language in the Clause Library.A user with the List Admin, Role Admin, and Clause Admin permissions must perform four setup tasks before the CIM feature can be used:
- Activate the feature by selecting the individual document types that need to be evaluated in the Document Types list in the List Administration screen.
- Grant the permission to upload documents based on contract group to existing user roles. Alternatively, you can create a separate CIM Clause Processor role with permissions to upload documents to specific contract groups, and assign this role to individual users.
- Ensure all the items used to classify the clauses in their company's contract document(s) have been added via the Clause Category, Clause Type, and Clause Security lists in the List Administration screen.
- Ensure all the negotiable and non-negotiable clauses used in their company's contract document(s) have been added to the Clause Library.
The Search & Report features can be used to identify and run reports on the clauses processed on uploaded documents. For example, you can run a report on documents using non-standard clauses, as well as a report that identifies all documents containing a specific clause.
